Participant Waiver and Assumption of Risk

OUTDOOR ENERGY ADVENTURES

PARTICIPANT WAIVER, ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND PARTICIPANT AGREEMENT

Last Updated: September 17, 2026

Outdoor Energy Adventures (“OEA”) is a private, invitation-only social group that coordinates and shares information about recreational, outdoor, adventure, and social activities.

Participation in any OEA event or activity is voluntary.

By accepting this Agreement, RSVPing to an OEA event, attending an OEA event, or otherwise participating in an OEA activity, I acknowledge and agree to the following terms.

1. CONTINUING CONDITION OF PARTICIPATION

Acceptance of this Agreement is a condition of participating in OEA activities.

By accepting this Agreement, I agree that its terms apply to my participation in the current OEA event and to future OEA events in which I participate while this version of the Agreement remains in effect.

If I no longer agree to these terms, I understand that I must not RSVP to, attend, or participate in any OEA event or activity.

OEA may revise this Agreement from time to time. If OEA makes a material change, I may be required to review and accept the revised Agreement before participating in additional OEA events.

2. VOLUNTARY PARTICIPATION

I understand that my participation in any OEA event or activity is entirely voluntary.

I am responsible for determining whether I am physically, mentally, and otherwise capable of safely participating in an activity.

I understand that OEA organizers, administrators, event hosts, volunteers, and participants are not acting as professional guides, instructors, medical professionals, safety personnel, transportation providers, or professional outfitters unless expressly stated otherwise.

Participation in OEA does not create a duty for any organizer, administrator, host, volunteer, or participant to continuously supervise, monitor, rescue, or protect me.

3. ASSUMPTION OF RISK

I understand that outdoor, recreational, adventure, sporting, travel, and social activities involve inherent and other risks that may result in property damage, illness, serious bodily injury, permanent disability, or death.

Depending on the activity, risks may include, but are not limited to:

  • drowning or immersion;
  • boating, kayaking, canoeing, paddleboarding, or other water-related accidents;
  • currents, tides, waves, changing water levels, submerged objects, marine life, and changing water conditions;
  • hiking, climbing, uneven terrain, roots, rocks, holes, mud, slippery surfaces, and falling objects;
  • cycling and collisions with vehicles, bicycles, pedestrians, animals, or stationary objects;
  • camping and exposure to fire, wildlife, insects, plants, weather, and remote locations;
  • ATV, off-road vehicle, or other motorized recreational activity;
  • falls, collisions, cuts, sprains, fractures, head injuries, and other physical injuries;
  • extreme heat, cold, lightning, storms, sun exposure, dehydration, and other weather-related conditions;
  • encounters with wildlife, insects, reptiles, marine life, or hazardous plants;
  • equipment failure or improper use of equipment;
  • road conditions, transportation accidents, or vehicle-related injuries;
  • actions, omissions, or negligence of other participants, members of the public, property owners, vendors, guides, outfitters, or other third parties;
  • delayed access to emergency services, rescue, evacuation, or medical treatment;
  • illness, allergic reaction, or other medical emergency;
  • inadequate cellular service, navigation errors, or becoming separated from the group; and
  • risks that may presently be unknown or not reasonably foreseeable.

I knowingly and voluntarily accept and assume all risks associated with my participation in OEA activities, whether known or unknown and whether arising from natural conditions, my own actions, the actions of others, equipment, property conditions, or otherwise.

4. RELEASE AND WAIVER OF LIABILITY

To the fullest extent permitted by Florida law, I voluntarily RELEASE, WAIVE, AND DISCHARGE Outdoor Energy Adventures and its organizers, administrators, event hosts, volunteers, representatives, members, agents, and affiliated persons or entities (collectively, the “Released Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses arising from or related to my attendance at or participation in an OEA event or activity.

This release includes claims for bodily injury, illness, death, emotional injury, property damage, loss, or other harm arising from:

  • the inherent risks of an activity;
  • environmental or weather conditions;
  • the actions or omissions of other participants or third parties;
  • the condition of property, trails, roads, water, facilities, or equipment; and
  • the ordinary negligence of any Released Party,

to the fullest extent such a release is permitted under applicable law.

I understand that by agreeing to this provision, I may be giving up important legal rights, including the right to bring a lawsuit against a Released Party for injuries or damages occurring during an OEA activity.

This Agreement is not intended to release liability that cannot legally be waived under applicable law.

5. THIRD-PARTY ACTIVITIES AND PROVIDERS

OEA events may involve independent businesses, organizations, or service providers, including:

  • outfitters;
  • rental companies;
  • tour operators;
  • guides;
  • parks;
  • campgrounds;
  • restaurants;
  • lodging providers;
  • transportation providers;
  • recreational facilities; and
  • property owners.

Unless expressly stated otherwise, these providers are independent third parties and are not owned, operated, supervised, controlled, or employed by OEA.

OEA does not warrant or guarantee the safety, condition, qualifications, services, equipment, employees, insurance, licensing, facilities, policies, or performance of any third-party provider.

A third-party provider may require me to sign an additional waiver, release, rental agreement, or other contract. Any such agreement is separate from this OEA Agreement.

6. PERSONAL RESPONSIBILITY

I understand that I remain personally responsible for my own safety and decisions at all times.

I agree that I am responsible for:

  • determining whether an activity is appropriate for me;
  • accurately evaluating my own abilities and experience;
  • following reasonable safety instructions;
  • using appropriate clothing, footwear, protective equipment, and safety gear;
  • bringing sufficient food, water, medication, and personal supplies;
  • properly operating any equipment I own, rent, borrow, or use;
  • complying with applicable laws, regulations, park rules, facility rules, and instructions from third-party operators;
  • monitoring weather and environmental conditions;
  • remaining aware of my surroundings;
  • exercising reasonable judgment regarding my own safety; and
  • withdrawing from an activity whenever I believe conditions exceed my abilities, experience, or comfort level.

I will not participate in an OEA activity while impaired by alcohol, illegal drugs, or any substance that materially interferes with my ability to participate safely.

7. MEDICAL CONDITIONS AND EMERGENCY CARE

I am responsible for determining whether my health permits me to participate safely.

I understand that OEA does not provide medical evaluations, medical advice, or medical supervision and is not responsible for determining whether I am medically fit to participate.

I am responsible for carrying any medications, medical devices, or supplies I may require.

If I require emergency assistance and am unable to provide consent, I authorize reasonable efforts to obtain emergency medical care, rescue, transportation, or evacuation on my behalf.

I understand that OEA cannot guarantee that emergency services will be available or arrive promptly.

I am responsible for any medical, ambulance, rescue, evacuation, transportation, or related expenses incurred on my behalf.

8. EQUIPMENT

Unless expressly stated otherwise, each participant is responsible for selecting, inspecting, maintaining, and safely using his or her own equipment or any equipment rented, borrowed, or otherwise obtained.

OEA does not warrant the safety, suitability, condition, or proper operation of equipment owned, rented, supplied, or loaned by another participant or third party.

I understand that any decision to use equipment is my own responsibility.

9. TRANSPORTATION AND CARPOOLING

Unless expressly stated otherwise, OEA does not provide transportation.

Participants are generally responsible for arranging their own transportation to and from OEA events.

Any carpooling or transportation arranged between participants is a voluntary private arrangement between those individuals.

OEA does not inspect, operate, maintain, insure, or control privately owned vehicles.

I assume the risks associated with transportation to and from OEA activities, including risks associated with privately operated vehicles and drivers.

10. EVENT CHANGES AND CANCELLATIONS

Outdoor and recreational activities may be affected by weather, water conditions, facility closures, safety concerns, participation levels, equipment availability, government restrictions, or other circumstances.

OEA may modify, postpone, relocate, shorten, or cancel an event at any time.

OEA is not responsible for expenses incurred by a participant because an event is changed, delayed, relocated, or canceled unless expressly agreed otherwise.

Participants remain responsible for understanding and complying with the cancellation, refund, deposit, and rescheduling policies of any third-party provider.

11. NO GUARANTEE OF SUPERVISION OR SAFETY

An OEA event host or organizer may coordinate logistics, meeting locations, schedules, routes, reservations, or group communications.

Doing so does not create a professional guide relationship or a duty to continuously supervise participants.

Each participant remains responsible for his or her own actions, decisions, equipment, route choices, physical condition, and safety.

Any description of an activity as “safe,” “easy,” “beginner-friendly,” “moderate,” “experienced,” or similar language is informational only and is not a guarantee that an activity is free from risk.

12. NO AUTHORITY TO BIND OEA

Membership in, participation in, volunteering for, hosting an event for, or serving as an administrator of OEA does not, by itself, give any person authority to enter into contracts, incur expenses, make financial commitments, make guarantees, make representations, or otherwise create legal or financial obligations on behalf of OEA.

Only a person who has been expressly authorized by OEA to do so may enter into an agreement or financial commitment on behalf of OEA.

Unless such express authorization has been provided, any agreement, reservation, purchase, rental, deposit, guarantee, or other commitment entered into by a member, participant, volunteer, administrator, or event host is made in that person's individual capacity.

That individual is solely responsible for any resulting obligations, costs, payments, liabilities, or commitments.

No member or participant may represent to another person or business that he or she has authority to legally bind OEA unless that authority has expressly been granted.

13. PERSONAL PURCHASES, RESERVATIONS, AND EXPENSES

Unless OEA expressly states otherwise in writing, any purchase, reservation, rental, lodging arrangement, transportation arrangement, equipment rental, admission ticket, meal, deposit, or other expense arranged by a participant is undertaken at that participant's own expense and responsibility.

OEA is not responsible for reimbursing, guaranteeing, refunding, or otherwise satisfying an obligation personally undertaken by a participant.

14. OEA NAME, BRANDING, AND INTELLECTUAL PROPERTY

Participation in OEA or acceptance of this Agreement does not grant a member or participant any ownership interest, exclusive right, license, or other proprietary interest in:

  • the Outdoor Energy Adventures name;
  • OEA logos or branding;
  • OEA website or domain names;
  • OEA social media accounts;
  • OEA signs or signage;
  • OEA publications;
  • OEA graphics;
  • OEA-created event materials;
  • OEA-created photographs or videos;
  • website layouts or designs; or
  • other materials owned or controlled by OEA.

Members and participants may not use the OEA name, logo, branding, or other OEA-controlled materials in a manner that suggests authorization, sponsorship, endorsement, ownership, partnership, or official representation by OEA without permission.

Nothing in this provision transfers ownership of original content independently created by a participant, including photographs, writing, artwork, graphics, video, or other copyrightable material, except where the participant has separately granted or transferred rights to OEA.

Where a participant submits photographs, written material, video, graphics, or other content to OEA for publication, posting, display, or inclusion in OEA communications, the participant grants OEA a nonexclusive, royalty-free license to use, reproduce, display, publish, distribute, resize, format, and share that material for OEA's website, event galleries, social media, communications, promotional materials, and other group purposes, unless otherwise agreed in writing.

15. PHOTOGRAPHY AND MEDIA

OEA events may be photographed or recorded.

Unless I notify an OEA organizer that I do not wish to appear in OEA-created photographs or recordings, I grant OEA permission to use photographs or video in which I appear for OEA's website, event galleries, social media, group communications, and promotional materials.

I understand that OEA cannot control photographs, recordings, or publications independently created by other participants, third parties, businesses, or members of the public.

16. PERSONAL PROPERTY

I am solely responsible for my personal property.

OEA and the Released Parties are not responsible for lost, stolen, misplaced, damaged, or destroyed vehicles, bicycles, boats, electronics, equipment, clothing, wallets, keys, personal belongings, or other property brought to an OEA event.

17. CONDUCT

Participants are expected to behave responsibly and respectfully toward other participants, members of the public, property owners, vendors, businesses, park personnel, and event personnel.

OEA may remove or exclude a participant from an event or from future OEA activities when that participant's conduct:

  • creates a safety concern;
  • substantially disrupts an event;
  • violates applicable law or facility rules;
  • harasses or threatens another person;
  • damages property;
  • materially interferes with the group's activities; or
  • is otherwise inconsistent with responsible participation in OEA.

Participation in OEA is a privilege and may be withdrawn at OEA's discretion, subject to applicable law.

18. INDEMNIFICATION

To the fullest extent permitted by applicable law, I agree to indemnify and hold the Released Parties harmless from claims, liabilities, damages, costs, or expenses resulting from:

  • my own actions or omissions;
  • my misconduct;
  • my violation of applicable law;
  • my violation of facility or provider rules;
  • damage or injury I cause to another person;
  • damage I cause to property;
  • agreements or financial commitments I personally enter into; or
  • claims brought by another person as a result of my conduct.

19. NO EMPLOYMENT, PARTNERSHIP, OR AGENCY RELATIONSHIP

My participation in OEA does not create an employment relationship, partnership, joint venture, fiduciary relationship, agency relationship, or other formal business relationship between me and OEA.

Unless expressly authorized in writing, I am not an employee, agent, representative, partner, or legal spokesperson for OEA.

20. GOVERNING LAW

This Agreement shall be governed by and interpreted under the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute arising from this Agreement or participation in an OEA activity shall be brought in a court of competent jurisdiction in Florida, subject to applicable law.

21. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

The invalidity of one provision will not affect the enforceability of the remaining provisions.

22. ENTIRE PARTICIPANT AGREEMENT

This Agreement, together with any applicable OEA Terms & Conditions, Privacy Policy, event-specific rules, and third-party agreements, constitutes the applicable terms governing my participation in OEA activities.

If an event requires a separate third-party waiver or agreement, that agreement is in addition to this Agreement and does not replace it unless expressly stated otherwise.

23. ACKNOWLEDGMENT AND ACCEPTANCE

By accepting this Agreement, I confirm that:

  • I have read this Agreement in its entirety;
  • I understand its terms;
  • I have had the opportunity to ask questions before agreeing;
  • I understand that outdoor and recreational activities can result in serious injury, permanent disability, property damage, or death;
  • I knowingly and voluntarily assume the risks associated with participating;
  • I understand that this Agreement contains a release and waiver of liability;
  • I understand that the release expressly includes claims arising from the ordinary negligence of the Released Parties to the fullest extent permitted by law;
  • I understand that I may be giving up important legal rights by accepting this Agreement;
  • I understand that acceptance is a continuing condition of participation in OEA events while this version remains in effect;
  • I understand that participation does not give me authority to enter into contracts or create financial obligations on behalf of OEA;
  • I understand that participation does not give me ownership of OEA's name, branding, website, signage, or other OEA-controlled materials; and
  • I voluntarily agree to be bound by this Agreement.

I AGREE TO THE OEA PARTICIPANT WAIVER, ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND PARTICIPANT AGREEMENT.
